Welcome to WhenNOT. By accessing or using our event scheduling service at whennot.com (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

These Terms constitute a legally binding agreement between you and WhenNOT ("we," "our," or "us"). We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting.

2. Description of Service

WhenNOT is a free event scheduling tool that helps groups find suitable dates for events by collecting availability information from participants. The Service allows users to:

  • Create events with specified date ranges
  • Share event links with participants
  • Collect and display participant availability
  • Integrate with third-party services such as Slack

3. User Responsibilities

By using our Service, you agree to:

  • Provide accurate and truthful information
  • Use the Service only for lawful purposes
  • Not attempt to interfere with or disrupt the Service
  • Not use the Service to harass, abuse, or harm others
  • Not use automated systems or bots to access the Service without permission
  • Not attempt to gain unauthorized access to any part of the Service

4. Account and Access

WhenNOT does not require user registration to use the basic features of the Service. Events are accessed via unique URLs that are generated when an event is created.

You are responsible for maintaining the confidentiality of your event URLs and for any activities that occur through your shared links. If you believe your event link has been compromised, please contact us immediately.

5. Intellectual Property

The Service, including its original content, features, and functionality, is owned by WhenNOT and is protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of any content you submit to the Service (such as event names and descriptions). By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content as necessary to provide the Service.

6. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the practices described in the Privacy Policy.

7. Third-Party Integrations

The Service may integrate with third-party services such as Slack. Your use of these integrations is subject to the terms and policies of those third-party services. We are not responsible for the content, privacy practices, or policies of any third-party services.

We do not warrant that:

  • The results obtained from using the Service will be accurate or reliable
  • Any errors in the Service will be corrected

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WHENNOT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US (IF ANY) FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

You agree to indemnify, defend, and hold harmless WhenNOT and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in any way connected with:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party

11. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause or notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which WhenNOT operates, without regard to its conflict of law provisions.

13. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiations. If such negotiations fail, the dispute shall be resolved through binding arbitration or in the courts of competent jurisdiction.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and WhenNOT regarding the use of the Service and supersede any prior agreements.
